Powerus PUSA Stock: What the $82M Order Really Means

Powerus's $82 million order is about 14.5 times its first-half 2026 revenue, but most of its other contract headlines are ceilings, targets or frameworks. Here is the filed-share market cap and a dilution checklist covering options, warrants, the S-8 and the $250 million shelf.

Powerus PUSA Stock: What the $82M Order Really Means

Only partly: the one firm, priced order Powerus has announced since listing, $82 million, is about 14.5 times Legacy Powerus's first-half 2026 revenue, but most of the other headline dollars are ceilings, targets or unpriced frameworks. Dilution is the other half of the story. At the October 16, 2026 close of $2.06, the 168,838,861 shares the company reported outstanding on October 15 were worth about $347.8 million, before counting options, warrants, a 50 million share equity plan or the new $250 million shelf.

The price path since the October 1 Nasdaq debut of the combined Powerus is in our look at $PUSA after the merger. This piece reads the paperwork.

Read the verb, not the dollar sign

Defense releases lead with a number. The commitment is in the noun next to it. Here is each deal in the company's own words.

Oct 5/6$82MAn "order" placed under "an existing U.S. government indefinite-delivery/indefinite-quantity (IDIQ) contract," the second order under that contract; "deliveries are expected over the next several quarters"; the customer and unit count are not namedCompany release, Business Wire (sUAS News repost); GlobeNewswire version Oct 6

The October 5 Business Wire release ("Awarded") and the October 6 GlobeNewswire release ("Receives") describe the same $82 million order, the second under an existing government contract. One order, two wires. Count it once.

The bigger double-count risk is the IDIQ. On October 5, Tectonic Defense reported that the $82 million is the second and largest order under the $90 million Air Force IDIQ awarded in August. Powerus's own release does not name the contract. Descriptions of both awards list the same extras, "ancillary support equipment, operator training, and field service representative support." If Tectonic's report is right, the $82 million sits inside the $90 million ceiling and is not added on top of it.

The revenue yardstick

The only filed revenue for the operating business is Legacy Powerus's unaudited six months ended June 30, 2026. That covers $5,670,889 of revenue, $2,191,877 of gross profit and an operating loss of $19,604,857, with $25,007,680 of cash at June 30 (8-K/A, Exhibit 99.1).

HeadlineArithmeticMultiple of H1 2026 revenue
$82M order$82,000,000 / $5,670,88914.5x
$90M IDIQ ceiling$90,000,000 / $5,670,88915.9x (a ceiling, not revenue)
$60M five-year target$60,000,000 / 5 years = $12M a yearabout 1.1x the naive annualized $11.34M (a target, not an order)
$22.3M commercial contract$22,300,000 / $5,670,8893.9x
$2.51M purchase order$2,510,000 / $5,670,8890.44x

Why ceilings and MOUs aren't backlog: an IDIQ is a contract vehicle. The buyer places orders against it "as requirements arise," in the release's words, and owes nothing beyond what it orders. A memorandum or sales target commits no money at all.

The filings back this up. Exhibit 99.1 does not use the word "backlog." It reports deferred revenue of $2,684,910 plus $190,000 from a related party at June 30, 2026, which the company "expects to recognize substantially all" of during 2026. The September 8 information statement/prospectus lists $1,914,998 of total deferred revenue as of March 31, 2026. "Backlog" appears there only as an acquired intangible and as a management report a fairness adviser reviewed, with no figure given. The subsequent-events note in Exhibit 99.1 runs through October 15 and puts no dollar figure on any of the announced orders.

Customer concentration is high. Four customers each provided at least 10% of first-half revenue: $1,810,000, $926,994, $889,170 and $792,460. Together that is $4,418,624, or 77.9% of the total. The largest alone was 31.9%. Separately, $810,000 came from a $1,000,000 equipment sale to Worldwide Friends Foundation, which the filing calls a related party.

The market cap, done right

The S-3 says 168,838,861 shares were outstanding as of October 15, 2026. Multiplied by $2.06 at the October 16, 2026 close, that is $347,808,054, or about $347.8 million. The October 6 8-K put the count at 163,838,861 right after the October 1 closing, so 5,000,000 shares were added in two weeks.

  • Price to H1 revenue: $347.8M / $5.67M = 61.3x six months of sales.
  • Naive annualization: $5.67M x 2 = $11.34M, giving about 30.7x. This is crude. Legacy Powerus was incorporated October 8, 2025, and bought Tandem Defense (January 15), Kaizen Aerospace (January 30) and Agile Autonomy (February 20). So the half-year lacks a full six months of every business, and orders arrive in lumps.

The common mistake is the share count. Aureus Greenway had 27,643,582 shares outstanding as of September 8, 2026, per the 424B3. At least one widely used market-data feed still showed about 21.6 million PUSA shares on October 18. At $2.06, 27.6 million shares works out to about $56.9 million, roughly one-sixth of the filed-count figure. A quote page showing a market cap under $100 million is using a stale count.

Selling-stockholder resale7,409,209 shares (2,359,667 outstanding + 5,049,542 from pre-funded warrants)S-3, Oct 19
  • A shelf is a registration, not a sale. The S-3 lets Powerus sell up to $250 million "from time to time." Amounts and prices would come in a later prospectus supplement. The company gets no proceeds from the 7.4 million resale shares. The S-3 was filed October 19, after the October 16 close, so no completed session reflects it.
  • Warrant strike prices matter. An S-3 footnote says American Ventures LLC beneficially owns 26,385,057 warrants at $1.25, 29,885,057 at $1.00 and 17,656,069 pre-funded warrants at $0.01. The footnote says all of the warrants carry a 9.9% ownership blocker, and every strike is below the $2.06 close. The filings do not reconcile these in one place with the 28.6 million replacement-warrant figure, so do not add the lines together.
  • Lock-ups: per the 424B3, lock-up shares release in three tranches: 33.33% at closing, 90 days after and 180 days after. Counting from October 1, that is about December 30, 2026 and March 30, 2027. Separately, certain AGH holders signed leak-out agreements barring sales below certain prices for one year after the March 8, 2026 signing.

How to read a drone-contract press release

  • Find the noun: "order" and "purchase order" are priced commitments. "Up to," "ceiling," "MOU" and "sales target" are not.
  • Check whether the customer is named and funds are "obligated."
  • Don't stack an order on top of the IDIQ it was placed under, or count one order twice because it ran on two wires.
  • Note the delivery window. "Next several quarters" spreads revenue over time.
  • Read the caveats: termination for convenience, options that may not be exercised, milestone payments, export approvals.
  • Compare with filed revenue, deferred revenue and remaining performance obligations.
  • Divide by a filed share count, never a stale quote page.

Bull/Bear Verdict

Bull Case: Powerus said it holds a priced $82 million government order, about 14.5 times its first-half 2026 revenue, with deliveries over the next several quarters. It had $25.0 million of cash at June 30 and a 38.7% first-half gross margin.

Bear Case: Several headline figures are ceilings, targets or frameworks. Four customers made up 77.9% of revenue, and the operating loss was $19.6 million in six months. Warrants struck below the $2.06 close, a 50 million share plan, a $250 million shelf and lock-up releases all sit over the 168.8 million share count.

FAQ

Is the $82 million order already revenue?

No. Powerus said deliveries are expected over the next several quarters. The latest filed financials, for the six months ended June 30, 2026, show $5,670,889 of total revenue and no backlog figure.

Is the $82 million on top of the $90 million Air Force IDIQ?

Not if Tectonic Defense's report is right. It reported on October 5, 2026 that the order is the second under that $90 million IDIQ. The company's release says only "an existing U.S. government" IDIQ and does not name it.

What is Powerus's market cap?

About $347.8 million: 168,838,861 shares outstanding as of October 15, 2026, times the $2.06 October 16, 2026 close. Pages showing far less are likely using a pre-merger share count.

Does the S-3 mean Powerus is selling $250 million of stock?

Not by itself. It registers the right to sell up to $250 million over time. Any actual offering would be described in a prospectus supplement.
